Terms and conditions.

These Terms and Conditions apply to all service agreements and product sales offered by ProSource Technical Services, LLC (“ProSource”). By signing a quote, proposal, or agreement with ProSource, the customer (“Customer”) acknowledges and accepts these terms.
SERVICE TERMS
Responsibilities of Parties
The Customer agrees to provide ProSource with access to the facility, utilities, and timely communication regarding any changes, while promptly reporting any issues for resolution. ProSource will supply trained personnel, appropriate cleaning equipment, and environmentally responsible products, ensuring compliance with health and safety standards and delivering services in accordance with the agreed scope.
Scheduling and Cancellations
All scheduled services require a valid customer purchase order unless otherwise agreed in writing. Services may be rescheduled with at least seventy-two (72) hours’ written notice. Cancellations or postponements made within seventy-two (72) hours of the scheduled service may result in a cancellation fee equal to twenty-five percent (25%) of the scheduled service cost, plus any non-refundable, committed, or incurred labor, travel, material, equipment, subcontractor, or mobilization costs.
Amendment Process
Either party may request changes to this Agreement by submitting a written request outlining the proposed change, its rationale, and any anticipated impact on services, timelines, or cost. Both parties will review and respond within fourteen (14) days to assess feasibility. Once mutually agreed upon, all amendments will be documented, signed by both parties, and attached to this Agreement as a permanent record.
Renewal Process
Renewal applies only to recurring services with a defined term. At least sixty (60) days prior to the end of the then-current term, the parties may review the services and determine whether to renew, modify, or discontinue the arrangement. Renewal will occur only if mutually agreed in writing.
Termination
Either party may terminate this Agreement for convenience with sixty (60) days’ written notice or for cause with immediate effect if the other party materially breaches the Agreement and fails to remedy the breach within thirty (30) days of written notice. Upon termination, the Customer will pay ProSource for all services rendered through the termination date, and all provisions intended to survive termination will remain in effect.
Dispute Resolution
In the event of a dispute, both parties will first attempt resolution through good-faith discussions. If unsuccessful, mediation will be pursued. Should mediation fail, the dispute will proceed to binding arbitration under mutually agreed-upon rules.
Invoicing, Payment Terms, and Late Fees
Invoices are due upon receipt unless otherwise specified in writing. Late payments will incur a penalty of one percent (1%) of the invoice total for every thirty (30) days past due. ProSource reserves the right to suspend services if payment is more than sixty (60) days overdue until the account is brought current.
Governing Law
This Agreement shall be governed by and construed under the laws of the State of South Carolina. Any legal actions arising from this Agreement shall be brought exclusively in the courts of South Carolina.
PRODUCT TERMS
Orders
Quotes apply only to the listed product specifications and quantities provided at the time of quotation. A valid customer purchase order is required before any product order will be processed. Changes in product specifications or quantities may result in adjustments to the quoted pricing. Built-to-order products cannot be canceled once the order has been placed. Cancellations of standard products must be submitted in writing and may be subject to cancellation charges depending on the status of the order at the time of the request. Product availability, lead times, specifications, and pricing are subject to manufacturer or supplier availability and may change prior to ProSource’s acceptance of a valid purchase order.
Shipping, Delivery, and Returns
All shipments are made F.O.B. Origin, and title along with the risk of loss transfers to the Customer upon delivery of the products to the carrier. Shipping costs, handling fees, and any applicable taxes will be added to the invoice. Returns are not accepted for built-to-order products. For all other products, a Return Authorization Number is required before any return will be processed. Returned products must be undamaged, in original packaging, and shipped prepaid. Freight charges, handling fees, and restocking fees may apply to all authorized returns.
Warranty
Product warranties, if any, are limited to the applicable manufacturer’s warranty. ProSource does not provide any independent product warranty unless expressly stated in writing.
Limitation of Liability
ProSource’s liability is limited to the original purchase price unless otherwise required by law. ProSource shall not be liable for indirect, incidental, or consequential damages, including but not limited to loss of profits or data.
Invoicing, Payment Terms, and Late Fees
For products, invoices will be issued upon shipment unless otherwise stated in writing. ProSource may require a deposit, prepayment, or progress payment for built-to-order, custom, special-order, or large-volume product orders. Unless otherwise stated in writing, payment is due upon receipt.
Governing Law
This Agreement shall be governed by and construed under the laws of the State of South Carolina. Any legal actions arising from this Agreement shall be brought exclusively in the courts of South Carolina.
SUBSCRIPTION TERMS
Any subscriptions are subject to the terms and conditions in the individual Subscription Agreement.
